freeTVEE’s ultimate goal is to provide exceptional customer service and a high quality, user friendly TV & home entertainment experience for $0 per month. We do not charge any ongoing monthly rate nor do we have a term agreement, so we do not force you to stay with us or use our services. The following is an overview of what you are agreeing to as our customer:

Definitions

“we”, “us”, “our”, “FTV” means freeTVEE, LLC.

“you”, “your”, “client” means the Client or Customer of freeTVEE, LLC.

Payment

Yep, you have to pay us for any equipment, wiring & the work that we have done…

Required Pre-Payments for Some Services
  • We require a $98 pre-payment to book an appointment for the first hour of an Antenna Installation Service (waived if ordering a Media Center PC).  If the installation takes longer than 1 hours, we charge additional hours at our Standard Hourly Rate.
  • Outside of the Denver metro area:  If you live outside the Denver metro area, for your Media Center PC order, we require 100% pre-payment before we will ship your order to you.

Standard Hourly Rate Our standard hourly rate is $49 per hour for all one-time installation and consulting services — with no ongoing monthly fees from freeTVEE.

Equipment Expenses You are also responsible for paying all equipment expenses incurred during installation (antenna, mounts, cables, wiring, equipment, etc.).

Payment Arrangements Why not use all of the money that freeTVEE saves you to pay us? We are happy to make payment arrangements and break our one-time fees over few months if necessary.

Other Fees Our late fees, bank returned payments, and attorney’s fees and collection costs will be added on to any unpaid balances that extend beyond the terms and the grace period agreed upon.

Estimate If requested during the free initial consultation, freeTVEE can provide a free estimate of work hours and associated costs-these are general figures which we will try to hit, but are not guaranteed. Due to the nature of our business we cannot guarantee your hours of work or your final price. Although we run tests ahead of time to make it easier at your home, unforeseen events may arise. Things like the functionality of your specific household electronics, the existing wiring in your home, as well as environmental interference can only be fully understood and worked through while on the job. You can help speed up the process by having electronics remotes and user manuals, login IDs and passwords, telecom bills, and all electronics accessible and ready. If you have concerns about hours worked or overall cost please let us know, so that we can discuss this with you further.

Taxes Consulting services are not taxed, but you are responsible to pay for all other sales and use taxes for any purchases made.

Your Accounts

freetvEE provides you with two Accounts, located at these web addresses:

  • https://freetvee.com/my-account/  In this account, you can view your Orders and Order Status. For each Order here, there is a corresponding Invoice.
  • https://freetvee.freshbooks.com    In this account, you can receive Invoices from us and pay your Invoices. Your account also enables you to track your payments and account balance. You can also update your account profile if any of your contact info changes.

Each account has a Username and Password. You are responsible for maintaining the confidentiality (do not share with anyone else) of your Username and password, and are fully responsible for all activities that under your Account.

Media Center PC/Computer

Hardware Just like any basic PC bought retail we offer a full 1 year warranty on the hardware. We will replace any faulty parts 100% free!

Software For most installations we download or help you download independent software, apps, freeware, shareware, or open source software from reputable sources on the internet onto your computer(s). You are responsible for using this software in a legal fashion per the software or freeware supplier’s own customer agreement (if applicable-please let us know upfront if you would like to be present to accept these agreements or have us print them, otherwise we click off on them as we install the files).

freeTVEE is not associated with these software/app/freeware companies (including Microsoft, Apple, etc.), so we cannot guarantee that they will not change or discontinue their services in the future.

Remote Access Sometimes we also install a Remote Desktop Access program on your PC, so that we can access your computer remotely (only done to fix PC problems if necessary), please let us know up front if you do not want us to install and access your computer remotely.

Pre-Installation Preparation by You We recommend that you create a system restore file and backup any important documents, pictures and videos before freeTVEE works on your computer. If you would like us to do this for you please let us know before we start working.

Post-Installation Support  After initial installation we accept no responsibility for any computer related issues that you may have.   So, please use and check your computer before we leave your house so we can fix any related issues. This includes but is not limited to any future issues related to Anti-virus, Spyware, Firewall, Internet TV, etc. freeware. We have no control of your household usage of the internet as it relates to these electronics once we leave your home, therefore we cannot take responsibility for future issues. We are happy to assist you for our normal hourly rate.

Returns Your custom PC/accessories are special ordered & built specifically for you. Besides the fact that it has been used, it also has all of your personal logins, media, preferences etc. Due to the amount of work we will need to do to clear everything off of your PC, test & reset we unfortunately do offer full refunds on PCs/electronics. We only accept fully functional returns within 30 days from your original install. A 15% refurbishing/restocking fee applies to the full purchase price of your PC/accessories (fee is more for heavily used or damaged items).

Indemnification and Liability of Customer

YOU AGREE THAT YOU SHALL BE RESPONSIBLE FOR AND SHALL DEFEND, INDEMNIFY, AND HOLD HARMLESS freeTVEE AND ITS EMPLOYEES, AFFILIATES, SUPPLIERS, AGENTS AND CONTRACTORS AND SHALL REIMBURSE US FOR ANY DAMAGES, LOSSES OR EXPENSES (INCLUDING WITHOUT LIMITATION, REASONABLE ATTORNEYS’ FEES AND COSTS) INCURRED BY US IN CONNECTION WITH ANY CLAIMS, SUITS, JUDGMENTS, AND CAUSES OF ACTION ARISING OUT OF (a) YOUR USE OF THE SERVICE OR OUR EQUIPMENT; (b) VIOLATION OR INFRINGEMENT OF CONTRACTUAL RIGHTS, PRIVACY, CONFIDENTIALITY, COPYRIGHT, PATENT, TRADEMARK, TRADE SECRET, OR OTHER INTELLECTUAL PROPERTY AND PROPRIETARY RIGHTS ARISING FROM YOUR USE OF THE SERVICE OR ANY UNAUTHORIZED APPARATUS OR SYSTEM; (c) YOUR BREACH OF ANY PROVISION OF THIS AGREEMENT.

Resolving Disputes and Problems

freeTVEE will do everything in our power to resolve an issue or help a customer. We place customer service as our top priority, even though you are not getting charged a monthly rate for our service.

Contact Us First You are required to contact freeTVEE first before starting any repair or legal proceeding if you have an issue or problem. We will always try to resolve any issues informally first (without legal representation).

Arbitration If you have an issue or dispute with freeTVEE that cannot be solved through an Informal dispute resolution with us, you or freeTVEE may elect to Formally resolve the issue through arbitration, rather than litigate the Dispute in court. Arbitration means you will have a fair hearing before a neutral arbitrator instead of in a court by a judge or jury.

Payment of Arbitration Fees and Costs YOU ARE RESPONSIBLE FOR COSTS THAT YOU INCUR IN THE ARBITRATION, INCLUDING, BUT NOT LIMITED TO, ATTORNEYS OR EXPERT WITNESSES. IF THE ARBITRATION PROCEEDING IS DECIDED IN freeTVEE’S FAVOR, YOU SHALL REIMBURSE US FOR COSTS WE INCURRED TO THE EXTENT AWARDABLE IN A JUDICIAL PROCEEDING. IF THE ARBITRATION PROCEEDING IS DETERMINED IN YOUR FAVOR, YOU WILL NOT BE REQUIRED TO REIMBURSE US FOR ANY OF THE FEES AND COSTS. IF A PARTY ELECTS TO APPEAL AN AWARD TO A THREE-ARBITRATOR PANEL, THE PREVAILING PARTY IN THE APPEAL SHALL BE ENTITLED TO RECOVER ALL REASONABLE ATTORNEYS’ FEES AND COSTS INCURRED IN THAT APPEAL. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS ARBITRATION PROVISION, freeTVEE WILL PAY ALL FEES AND COSTS THAT IT IS REQUIRED BY LAW TO PAY. Restrictions:

  1. YOU MUST CONTACT US WITHIN ONE (1) YEAR OF THE DATE OF THE OCCURRENCE OF THE EVENT OR FACTS GIVING RISE TO A DISPUTE, OR YOU WAIVE THE RIGHT TO PURSUE ANY CLAIM BASED UPON SUCH EVENT, FACTS, OR DISPUTE.
  2. ALL PARTIES TO THE ARBITRATION MUST BE INDIVIDUALLY NAMED. THERE SHALL BE NO RIGHT OR AUTHORITY FOR ANY CLAIMS TO BE ARBITRATED OR LITIGATED ON A CLASS ACTION BASIS.
  3. ALL PARTIES WAIVE ANY CLAIM TO INDIRECT, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR MULTIPLIED DAMAGES ARISING FROM OR OUT OF ANY DISPUTE WITH freeTVEE UNLESS THE STATUTE UNDER WHICH THEY ARE SUING PROVIDES OTHERWISE.

Payment Process

Invoice You will be emailed a link to your freeTVEE Invoice for any payment due. When you click on the link from the email, the Invoice shows all the Items in your Order and the Order Total (in USD). Invoice payment is due in accordance with the Payment section (left panel), although we give a 30-day grace period before a late payment fee is charged. Note: Some Services require a Pre-Payment.  See the Payment section (left panel) for details.

How to Pay Pre-Payments When you receive the email with link to your Invoice, click the link and then use one of the How To Pay methods, below. If paying online, input the required pre-payment amount you are paying. Your freeTVEE account will show any remaining balance due.

How To Pay For payment of invoices, we accept:

  • Visa, MasterCard, or Discover card. Click the Pay Now button at the top of the online Invoice to pay securely online.
  • A check payable to FreeTVEE. Mail to the FreeTVEE address shown on your Invoice. Note: Paying by check will delay your Media Center PC order, since we will not begin building your Media Center PC until your check has cleared our bank.

Payments We Receive Any amounts paid by you will be credited to your freeTVEE Account upon receipt by us and will be tracked online in your Payment History and Account Statement.

Late Payments will incur a late payment fee of 5% of the Order Total compounded every 31 days after the invoice issue date.

Bounced Checks will incur a $20 NSF fee, as allowed by Colorado Law.

Internet TV

Content Ownership All of the TV & Movie content that we link to is not owned, controlled or operated by freeTVEE. freeTVEE does not host any videos or TV streams on our website. You understand that the content owners of these respective websites can change or remove their content at any time.  We are not affiliated and we do not claim to be affiliated with any of the owners or providers of videos, TV, movies and radio streams.

Content Provider Branding Ownership The trademarks, logos, and service marks that are displayed on our website are the registered and unregistered marks of their respective owners. All channel names, content, and trademarks are the property of their respective owners.

Our Links to Content We only provide easy to use and organized links to other websites with streams which can be streamed with a High Speed Internet connection.  Channel, program and link availability may change from time to time (this is out of freeTVEE’s control). freeTVEE makes every attempt to link to only high quality, legal sources of TV and movie content. We do not constantly monitor our links for inappropriate (adult, violent, illegal, etc.) content, so just like surfing the web-ultimately you are responsible for where you navigate and what you watch on the internet. If you find a site that has illegal content please notify us immediately and we will investigate and remove it, if appropriate. Please let us know if you would like more info on blocking inappropriate material, we also have affiliate links to services that can help to protect your children on the web.

Third Parties freeTVEE is not responsible for any information provided to you by third parties, nor are we responsible for info provided by you (even if we initially set up an account for you) to third parties. You assume all risks associated with providing information to third parties via these services.

High Speed Internet Access Required We recommend a 5 MBPS or higher internet connection for best Internet TV results.

Compatibility with Your Electronics Though most customers are happier with what they are getting for free from freeTVEE compared to what they were paying for before, we cannot guarantee Internet TV will work with all electronics. Since conditions vary by home and specific electronics we can’t guarantee Internet/Computer to TV or other electronics functionality. We do provide a 100% free initial consultation where we can run some initial tests and advise you if you are a good candidate for Internet TV, and the likelihood of issues with specific TVs, computers or electronics (please ask any specific questions before installation).

Consulting and Recommendations

(services sometimes referred to as TVIP Consulting-TV, Internet & Phone Consulting)

Recommendations, Errors, Omissions While we always attempt to provide the best advice for you specific situation, only you can ultimately decide what is best for you. Recommendations for buying certain products and services or using your electronics in a certain fashion are just that-recommendations. We do research and/or use our experience to provide you the best possible advice, but some things are out of our control. Errors and Omissions made by freeTVEE or its agents are regrettable but only human in nature. We will not be liable for errors and omissions. We help you to find the best value in electronics, the best product for the cheapest price. If you prefer to pay the premium price to get the best product please let us know that up front.

Warranty & Electronics Support All electronics, no matter how good they are, have glitches and are faulty from time to time. Please be aware that we do not make the products, so have no control over defects and malfunctions. Any warranty or support for items that you purchase from freeTVEE or our affiliates should come directly from the manufacturer or supplier.

Limited Warranty and Liability

Limited Warranty freeTVEE services and equipment are provided as is, without warranty unless provided by the equipment manufacturer. Neither freeTVEE nor it’s agents warrant that that our equipment or services will meet all of your requirements, provide uninterrupted use, operate as required, without delay or without error. The limitations of liability set forth in this Section apply to any acts, errors and omissions, and negligence of freeTVEE and its underlying third-party service providers, agents and suppliers (and their respective officers, employees, agents, contractors or representatives) which, but for that provision, would give rise to a cause of action in contract, tort or under any other legal doctrine.

CUSTOMER EQUIPMENT MAY BE DAMAGED OR SUFFER SERVICE OUTAGES AS A RESULT OF THE INSTALLATION, SELF-INSTALLATION, USE, INSPECTION, MAINTENANCE, UPDATING, REPAIR, AND REMOVAL OF EQUIPMENT, CUSTOMER EQUIPMENT AND/OR THE SERVICES. EXCEPT FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER freeTVEE NOR ANY OF ITS AFFILIATES, SUPPLIERS, EMPLOYEES, AGENTS, OR CONTRACTORS SHALL HAVE ANY LIABILITY WHATSOEVER FOR ANY DAMAGE, LOSS, OR DESTRUCTION TO THE CUSTOMER EQUIPMENT. IN THE EVENT OF GROSS NEGLIGENCE OR WILLFUL MISCONDUCT BY freeTVEE, SUPPLIERS, EMPLOYEES, AGENTS, OR CONTRACTORS, WE SHALL PAY AT OUR SOLE DISCRETION FOR THE REPAIR OR REPLACEMENT OF THE DAMAGED CUSTOMER EQUIPMENT UP TO A MAXIMUM OF $500. THIS SHALL BE YOUR SOLE AND EXCLUSIVE REMEDY RELATING TO SUCH ACTIVITY. YOU UNDERSTAND THAT YOUR COMPUTER OR OTHER DEVICES MAY NEED TO BE OPENED, UPDATED, ACCESSED OR USED EITHER BY YOU OR BY US OR OUR AGENTS, IN CONNECTION WITH THE INSTALLATION, UPDATING OR REPAIR OF HSI OR VIDEO SERVICES. THE OPENING, ACCESSING OR USE OF YOUR COMPUTER, OTHER DEVICES USED IN CONNECTION WITH HIGH SPEED INTERNET OR VIDEO SERVICES MAY VOID WARRANTIES PROVIDED BY THE COMPUTER OR OTHER DEVICE MANUFACTURER OR OTHER PARTIES RELATING TO THE COMPUTER’S OR DEVICE’S HARDWARE OR SOFTWARE. NEITHER freeTVEE NOR ANY OF ITS AFFILIATES, SUPPLIERS, OR AGENTS, SHALL HAVE ANY LIABILITY WHATSOEVER AS THE RESULT OF THE VOIDING OF ANY SUCH WARRANTIES. BY ACCEPTING THIS AGREEMENT, YOU WAIVE ALL CLAIMS AGAINST freeTVEE FOR INTERFERENCE, DISRUPTION, OR INCOMPATIBILITY BETWEEN THE EQUIPMENT OR THE SERVICES AND ANY OTHER SERVICE, SYSTEMS, OR EQUIPMENT.

When you use certain features of the Services, such as online features (when available), you may require special software, applications, and/or access to the Internet. We make no representation or warranty that any software or application installed on Customer Equipment, downloaded to Customer Equipment, or available through the Internet does not contain a virus, spyware, malware, or other harmful feature. It is your sole responsibility to take appropriate precautions to protect any Customer Equipment from damage to its software, files, and data as a result of any such virus or other harmful feature. We may, but are not required to, terminate all or any portion of the installation or operation of the Services if a virus or other harmful feature or software is found to be present on your Customer Equipment. We are not required to provide you with any assistance in removal of viruses. If we decide, in our sole discretion, to install or run virus check software on your Customer Equipment, we make no representation or warranty that the virus check software will detect or correct any or all viruses. You acknowledge that you may incur additional charges for any service call made or required on account of any problem related to a virus or other harmful feature detected on your Customer Equipment. NEITHER freeTVEE NOR ITS AFFILIATES, SUPPLIERS, EMPLOYEES, AGENTS, OR CONTRACTORS SHALL HAVE ANY LIABILITY WHATSOEVER FOR ANY DAMAGE TO OR LOSS OF ANY HARDWARE, SOFTWARE, FILES, OR DATA RESULTING FROM A VIRUS, ANY OTHER HARMFUL FEATURE, OR FROM ANY ATTEMPT TO REMOVE IT. In addition, as part of the installation process for the software and other components of the Service, system files on your Customer Equipment may be modified. We do not represent, warrant or covenant that these modifications will not disrupt the normal operations of any Customer Equipment including without limitation your computer(s), or cause the loss of files. freeTVEE does not represent, warrant, or covenant that the installation of the special software or applications or access to our Web portal(s) will not cause the loss of files or disrupt the normal operations of any Customer Equipment, including, but not limited to, your computer(s). FOR THESE AND OTHER REASONS, YOU ACKNOWLEDGE AND UNDERSTAND THE IMPORTANCE OF BACKING UP ALL FILES TO ANOTHER STORAGE MECHANISM PRIOR TO SUCH ACTIVITIES. YOU UNDERSTAND AND ACCEPT THE RISKS IF YOU DECIDE NOT TO BACK UP FILES. NEITHER freeTVEE NOR ITS AFFILIATES, SUPPLIERS, EMPLOYEES, AGENTS, OR CONTRACTORS SHALL HAVE ANY LIABILITY WHATSOEVER FOR ANY DAMAGE TO OR LOSS OF ANY SOFTWARE, FILES, OR DATA.

High Risk Usage and Activities The Services are not fail-safe and are not designed or intended for use in situations requiring fail-safe performance or in which an error or interruption in the Services could lead to severe injury to business, persons, property, or environment (“High Risk Activities”). These High Risk Activities may include, without limitation, vital business, or personal communications, or activities where absolutely accurate data or information is required. You expressly assume the risks of any damages resulting from High Risk Activities.

Interruption of ServicesWe shall not be liable for any inconvenience, loss, liability, or damage resulting from any interruption of the Services, directly or indirectly caused by, or proximately resulting from, any circumstances beyond our control, including, but not limited to, causes attributable to you or your property; inability to obtain access to the Premises; failure of any signal at the transmitter; failure of antenna, failure of the OTA signal tower, communications satellite; loss of use of poles, or other utility facilities; riot or insurrection; war; explosion; malicious mischief; fire, flood, lightning, earthquake, wind, ice, snow, high humidity, extreme weather conditions, or other acts of God; failure or reduction of power; or any court order, law, act or order of government restricting or prohibiting the operation or delivery of the Services.

Use of Third Parties Notwithstanding anything to the contrary in this Agreement, you acknowledge and understand that we may use third parties to provide components of the Services, including without limitation, their services, equipment, infrastructure, or content. We are not responsible for the performance (or non- performance) of third-party services, equipment, infrastructure, or content, whether or not they constitute components of the Services. We shall not be bound by any undertaking, representation or warranty made by an agent, or employee of freeTVEE or of our underlying third-party providers and suppliers in connection with the installation, maintenance, or provision of the Services, if that undertaking, representation, or warranty is inconsistent with the terms of this Agreement. In addition, you understand that you will have access to the services and content of third parties through the Service(s), including without limitation that of content providers (whether or not accessible directly from the Service). We are not responsible for any services, equipment, infrastructure, and content that are not provided by us (even if they are components of the Service), and we shall have no liability with respect to such services, equipment, infrastructure, and content. You should address questions or concerns relating to such services, equipment, infrastructure, and content to the providers of such services, equipment, infrastructure, and content. We do not endorse or warrant any third-party products, services, or content that are distributed or advertised over the Services. Your sole and exclusive remedies under this Agreement are as expressly set forth in this Agreement.

State Law Dependencies Certain of the above limitations may not apply if your state does not allow the exclusion or limitation of implied warranties or does not allow the limitation or exclusion of incidental or consequential damages. In those states, the liability of freeTVEE and its employees, affiliates, suppliers, agents, and contractors is limited to the maximum extent permitted by law.

Survivability All representations, warranties, indemnifications, and limitations of liability contained in this Agreement shall survive the termination of this Agreement; any other obligations of the parties hereunder shall also survive, if they relate to the period before termination or if, by their terms, they would be expected to survive such termination.

Installation and Support Process

freeTVEE does consulting and installation related to telecom and electronics.

Relationship with our manufacturers We are not associated with Microsoft, Apple or any other manufacturer or software provider, although we give advice related to these companies’ products.

On-Premise Installation When doing a live installation we just provide the initial setup and consultation, therefore will not be held responsible for any future problems, issues, or confusion that may occur. Unlike Cable or Satellite providers freeTVEE charges no monthly rate, therefore we cannot provide ongoing support for free. Please take notes or ask any and all questions during the initial install/consult.  You are welcome to observe and learn while we do your install, but be advise this will result in longer install times.

Please make sure all of your electronics are working as you expect them too before we leave your house. We will not be liable for any electronics malfunctions or failures unless directly due to our fault during install at your home. See “General Detailed” below for more info

Post-installation we support you in the following ways:

  • freeTVEE informational email newsletter subscription. As a freeTVEE customer you are automatically subscribed to our email newsletter which provides ongoing tips and info. If you do NOT want to receive our newsletter, please click the Unsubscribe link when you get our first newsletter to be immediately unsubscribed.

Over The Air (OTA) Antenna TV

TV / Channel Reception / Content Availability Not Guaranteed While freeTVEE will give you the best chance at getting the best possible antenna reception, OTA antenna reception at your specific location is affected by many uncontrollable factors: buildings, trees, land masses, distance from transmitting tower, household interference, faulty in-home wiring, weather, multi-path, antenna gain, receiver sensitivity, etc. Though most customers are happier with what they are getting for free from freeTVEE compared to what they were paying for before, we cannot guarantee TV or channel reception, since conditions vary by home and specific electronics equipment.

While we don’t expect any major changes, free TV and Movie content accessibility and availability is subject to change (programming or environmental) which is out of freeTVEE’s control.

We do provide a 100% free initial consultation where we can run some initial tests and advise you if you are a good candidate for antenna reception, and the likely hood of issues with specific channels or TVs (please ask any specific questions before installation).

Get Approval from your HOA or Landlord You are ultimately responsible for the approval of OTA antenna installation from your HOA or apartment landlord, although per the FCC no one can prevent you from hooking up an OTA antenna-more info can be found here: http://www.fcc.gov/mb/facts/otard.html

Liability, Injuries, Accidents, Weather, Lightning  Please note that we cannot be held responsible for any injuries to you or a third party related to OTA antenna related repair or installation. We cannot control “acts of God” such as weather and lightning, but we do everything possible to prevent accidents.

Grounding By default, we ground only very large (>5′ H or L) antennas installed on the roof. Most of the coax/copper wiring & grounding materials should already be present at your home, if so we will tie the antenna/coax into that existing grounding setup. We take no responsibility for the correctness & quality of your existing grounding system/block. Most customers do not want to pay the associated time/costs for a new ground rod/grounding block). If you are concerned about antenna grounding let us know, and we will be happy to take the time to run and entirely new grounding system/rod/block.

Access to your premises and customer equipment

Safe Working Conditions We rely on you to help us maintain the highest level of safety for you and our technician throughout the installation process. Please notify us of any dangerous animals or critters (dog, snakes, etc.), as well as dangerous working conditions (ice, bad roof, etc.).

Access to Premises You agree to allow us and our agents the right to enter your property at which the Services and Equipment will be provided (the “Premises”) at reasonable times, for purposes of installing, configuring, maintaining, inspecting, upgrading, replacing the Services and/or Equipment used.

You warrant that you are either the owner of the Premises or that you have the authority to give us access to the Premises. If you are not the owner of the Premises, you are responsible for obtaining any necessary approval from the owner to allow us and our agents into the Premises to perform the activities specified above. In addition, you agree to supply us or our agent, if we ask, the owner’s name, address, and phone number and/or evidence that the owner has authorized you to grant access to us and our agents to the Premises.

Customer Equipment Customer Equipment consists of software or services that you elect to use in connection with the Services or Equipment (the “Customer Equipment”). You agree to allow us and our agents the rights to download software and install other hardware in the Customer Equipment, send software and/or “downloads” to the Customer Equipment and install, configure, maintain, inspect and upgrade the Customer Equipment and our Equipment. You warrant you are either the owner of the Customer Equipment or that you have the authority to give us access to the Customer Equipment. If you are not the owner of the Customer Equipment, you are responsible for obtaining any necessary approval from the owner to allow us and our agents access to the Customer Equipment to perform the activities specified above. In addition, you agree to supply us or our agent, if we ask, the owner’s name, address and phone number and/or evidence that the owner has authorized you to grant access to us and our agents to the Customer Equipment to perform the activities specified above. freeTVEE has no responsibility for the operation or support, maintenance, or repair of any Customer Equipment including, but not limited to, Customer Equipment to which freeTVEE has recommended or that you have purchased through an affiliate, including software downloads.

Entire Agreement and Understanding

This Agreement and any other documents incorporated by reference constitute the entire agreement and understanding between you and freeTVEE with respect to the subject matter of this Agreement, and replace any and all prior written or verbal agreements. If any portion of this Agreement is held to be unenforceable, the unenforceable portion shall be construed in accordance with applicable law as nearly as possible to reflect the original intentions of the parties, and the remainder of the provisions shall remain in full force and effect. freeTVEE does not waive any provision or right if it fails to insist upon or enforce strict performance of any provision of this Agreement. The course of conduct between you and freeTVEE shall not act to modify any provision of this Agreement.

Additional Representations and Warranties

In addition to representations and warranties you make elsewhere in this Agreement, you also represent and warrant that:

  • Age You are at least 18 years of age.
  • Customer Information During the term of this Agreement, you have provided and will provide to freeTVEE information that is accurate, complete and current, including without limitation your legal name, address, telephone number(s), the number of devices on which or through the Service(s) is being used, and payment data (including without limitation information provided when authorizing recurring payments). You agree to notify us promptly, in accordance with the terms of this Agreement, if there is any change in the information that you have provided to us. Failure to provide and maintain accurate information is a breach of this agreement.

Information Provided to Third Parties

freeTVEE is not responsible for any information provided by you to third parties, and this information is not subject to the privacy provisions of this Agreement or the privacy notice for the Services. You assume all privacy, security, and other risks associated with providing any information, including CPNI or personally identifiable information, to third parties via the Services. For a description of the privacy protections associated with providing information to third parties, you should refer to the privacy policies, if any, provided by those third parties.

Revocable License

The Services and Equipment, including, but not limited to, any firmware or software embedded in the Equipment or used to provide the Services, are protected by trademark, copyright, patent and/or other intellectual property laws and international treaty provisions. You are granted a revocable license to use such firmware and software in object code form (without making any modification thereto) strictly in accordance with this Agreement. You acknowledge and understand that you are not granted any other license to use the firmware or software embedded in the Equipment or used to provide the Services. You expressly agree that you will use the Equipment exclusively in connection with the Services. You shall not take any action nor allow anyone else to take any action that will reverse compile, disassemble, reverse engineer, or otherwise attempt to derive the source code from the binary code of the firmware or software.

Protection of freeTVEE’s Information and Marks

All Service information, documents, and materials on our websites are protected by trademark, copyright or other intellectual property laws, and international treaty provisions. All websites, corporate names, service marks, trademarks, trade names, logos, and domain names (collectively “marks”) of freeTVEE and its affiliates are and shall remain the exclusive property of freeTVEE. Nothing in this Agreement shall grant you the right or license to use any of the marks.

Retention of Rights

Nothing contained in this Agreement shall be construed to limit freeTVEE’s rights and remedies available at law or in equity. Upon termination of this Agreement for any reason, freeTVEE and its suppliers reserve the right to delete all your data, files, or other Customer information that is stored on our servers or systems.

Notice for Changes to this Agreement

We will provide you notice of changes to this Agreement on our website or via email.

Acceptance of this Agreement

You will have accepted this Agreement and be bound by its terms if you use the Services or otherwise indicate your affirmative acceptance of such terms and conditions.
